２. APPROVALS AND USE OF PROPERTY.
(a) Owner Approval of Licensed Articles: The style, designs, packaging,
contents, and workmanship of all LICENSED ARTICLES sold pursuant to this Agreement shall be of a high quality and
shall be at mid & premium product levels in the relevant product market.
Owner has the right to take all reasonable actions which it deems necessary to ensure that LICENSED ARTICLES manufactured or sold hereunder are consistent
with the reputation and prestige of the PROPERTY as a designation for quality products.
(b) Licensee Compliance with Applicable Law: All LICENSED ARTICLES
shall be manufactured, sold, labeled, packaged, distributed, and advertised
in accordance with all applicable laws and regulations. (c) Delivery and
Approval of Samples: Licensee shall, before selling or distributing any
new or modified LICENSED ARTICLES, furnish to Owner at no cost for written
approval one (1) English language version sample (i.e. mock-ups or production
samples) whenever reasonably possible or viable depending on i.e. shipping
costs for large equipment may make the exercise unreasonable in which case
digital photos supported by line drawings ＆ supporting features information
will be acceptable, of each such LICENSED ARTICLE, together with its carton(s)
and container(s), including packing and wrapping material. The LICENSED
ARTICLES, their carton(s) and container(s), including packing and wrapping
material, shall be of a mid to high quality, appearance and style and shall
be pre-approved by Owner in writing before any advertising, sales, distribution
or use of same may take place. Failure of Owner to provide Licensee with
written disapproval within ten (10) business days shall constitute Owner’s
deemed approval. Electronic visuals, for all other language versions will
be an acceptable format, for approval purposes. Approval for proposed merchandise
&/or packaging not to be unreasonably withheld or delayed.

(a) 受諾品目の所有権による承認：本契約に従って販売されている全受諾品目の型、デザイン、包装、内容および細工は高品質で、関連する商品市場において中級および高級商品レベルでなければならない。所有権者は、本契約において製造または販売される、優良商品という称号を持つ許諾品目が、知的財産の評判および威信に相応しいものであることを保証するために必要と思われる、すべての合理的な対策を取る権利を持つ。
(b) ライセンシーの的用法遵守：全許諾品目は、すべての適用法および規制に従って製造、販売、ラベル付け、梱包、流通、および宣伝されなければならない。
(c) 試供品の引き渡しと承認：ライセンシーは、許諾品目の新製品または改良品を販売または流通する前の、合理的に可能または実行可能なとき、つまり大型装置の出荷費用だと実行が難しいなら線画で外観情報がわかるデジタル写真が望ましいのだが、所有権者の書面による承認を得るために、各許諾品目の英語版の試供品（すなわち実物大模型または製品サンプル）を無償で提供しなければならない。当該許諾品目は、充填剤および包装材料を含む段ボール箱および包装箱を伴わねばならない。許諾品目、ならびにその充填剤および包装材料を含む段ボール箱および包装箱は、中級から高級な品質、外観、スタイルでなければならず、宣伝、販売、流通または使用される前に、所有権者から書面による事前承認を得ていなければならない。10日以内に所有権者から書面による不承認の通知が届かない場合は、所有権者の承認とみなすものとする。電子映像は、その他全ての言語版の承認のために望ましい形式である。提案される商品および／または梱包に対する承認は、不当に保留または遅延されてはならない。
